Who should attend: Lawyers with 1 – 3 years experience advising businesses; experienced lawyers or in-house counsel who seek a refresher or primer on key areas of corporate law.

Learning level: Fundamental/Intermediate

In this course you will learn how to advise clients on asset purchase deals and share purchase deals and what your role as the lawyer is in these transactions. You will learn about:

  • the different types of transactions
  • the stages of a deal
  • early considerations and who your “deal team” is
  • expressions of interest and initial transaction steps
  • what due diligence needs to be conducted
  • how to negotiate the Purchase and Sale Agreement
  • the practical aspects of documentation
  • what happens during pre-closing, closing & post-closing

This is the 2nd course in the Business Basics series, a 6-part CLE-TV series designed to provide you with an overview of the basic principles in corporate law and how to use them effectively in practice so that you have the big picture in mind when advising a business.

This series uses the CLEBC publication Advising British Columbia Businesses as its course materials and resource guide.
